Forth Ghana reserves the right to revise these Terms at any time. Updates become effective immediately upon publication. Your continued use of the Platform constitutes acceptance of the revised Terms.

2. Users of the Platform

These Terms apply to:

• Clients and prospective clients of Forth Ghana
• Consultants, experts, legal professionals and contractors engaged by Forth Ghana
• Employees and authorized representatives of Forth Ghana
• Any other authorized users of the Platform

3. Purpose of the Platform

Forth Ghana is a professional services firm providing legal, advisory, compliance, risk, ESG, regulatory and related consulting services.

The Platform is designed to:

• Facilitate engagement between Forth Ghana and clients
• Provide access to service information, resources and tools
• Enable collaboration with consultants and experts
• Support recruitment and talent engagement
• Provide insights, publications and regulatory updates

The Platform does not constitute legal advice unless expressly agreed in a formal engagement contract.

4. Access and Account Security

Forth Ghana may modify, suspend or withdraw the Platform at any time without notice. We are not liable if the Platform is unavailable.

If you create an account:

• You must provide accurate and current information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately of any unauthorized use of your account.
• You may not share your login credentials with any third party.

Forth Ghana reserves the right to disable accounts where these Terms are violated.

5. User Contributions

The Platform may allow you to submit information, comments, profiles, documents or other materials (“User Contributions”).

By submitting content, you:

• Grant Forth Ghana a non-exclusive, royalty-free license to use such content for legitimate business purposes.
• Represent that you have the legal right to provide the content.
• Accept responsibility for its legality, accuracy and appropriateness.

Forth Ghana is not responsible for content submitted by users.

6. Content Standards

User Contributions must:

• Comply with the laws of Ghana and applicable international laws.
• Not be defamatory, abusive, discriminatory, fraudulent or unlawful.
• Not infringe intellectual property or privacy rights.
• Not promote illegal activities.
• Not misrepresent your identity or affiliation.
• Not include unauthorized commercial promotions.

Forth Ghana reserves the right to remove any content that violates these standards.

7. Prohibited Uses

You agree not to:

• Use the Platform for unlawful purposes.
• Introduce malicious software or harmful code.
• Attempt unauthorized access to the Platform.
• Interfere with the operation or security of the Platform.
• Use automated tools (bots, scrapers, spiders) to extract data.
• Use Platform content to develop competing services.
• Reproduce confidential consultant or client information outside permitted channels.

Any breach may result in suspension, legal action or both.

8. Confidentiality

Certain information available on the Platform may constitute confidential information of Forth Ghana, its clients or consultants.

• Not disclose it to third parties without authorization.

This obligation survives termination of access.

9. Intellectual Property Rights

All content on the Platform – including text, graphics, logos, publications, software, design, and branding – is owned by Forth Ghana or its licensors and protected under Ghanaian and international intellectual property laws.

You may use the Platform only for legitimate business purposes with Forth Ghana.

You must not:

• Copy, reproduce, modify, distribute or republish materials without written consent.
• Remove copyright or trademark notices.
• Extract data outside permitted functionality.

No intellectual property rights are transferred to you.

10. Trademarks

“Forth Ghana,” its logo, taglines and related branding elements are trademarks of Forth Ghana.

Forth Ghana reserves the right to:

• Remove or refuse User Contributions.
• Suspend or terminate access.
• Disclose information where required by law.
• Take legal action for misuse of the Platform.

You waive claims arising from good-faith enforcement of these Terms.

12. Copyright Infringement

13. Information and Data Protection

14. Third-Party Links

The Platform may contain links to third-party websites. Forth Ghana:

• Does not control such websites.
• Is not responsible for their content.
• Accepts no liability for your use of them.

15. Geographic Scope

The Platform is operated from Ghana and may be accessed globally.

Users are responsible for compliance with local laws in their jurisdiction.

16. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Forth Ghana disclaims all warranties, including:

• Continuous availability
• Fitness for a particular purpose

Use of the Platform is at your own risk.

17. Limitation of Liability

To the fullest extent permitted by law, Forth Ghana shall not be liable for:

• Indirect, incidental, consequential or punitive damages
• Loss of revenue, profits, data, goodwill or business opportunity

Total liability arising from your use of the Platform shall not exceed the fees paid (if any) for access to the Platform within the preceding 12 months.

Nothing limits liability where such limitation is prohibited under Ghanaian law.

You agree to indemnify and hold harmless Forth Ghana, its partners, employees, consultants and affiliates from any claims arising from:

• Your breach of these Terms
• Your misuse of the Platform
• Your User Contributions

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Ghana.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise agreed in a separate contract.

20. Limitation Period

Any claim arising out of these Terms must be brought within one (1) year from the date the cause of action arose.

21. Waiver and Severability

Failure to enforce any provision does not constitute waiver.

If any provision is held invalid, the remaining provisions remain enforceable.

22. Survival

Provisions relating to:

• Intellectual Property
• Confidentiality
• Limitation of Liability
• Indemnity
• Governing Law

shall survive termination.

23. Entire Agreement

These Terms, together with our Privacy Notice and any formal engagement agreement, constitute the entire agreement relating to use of the Platform.

In case of conflict, a signed engagement contract prevails.
